1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and E-Digital Hub LLC ("Company", "we", "us", or "our"), concerning your access to and use of the https://www.learnerr.ai/ website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

E-Digital Hub LLC is a Wyoming limited liability company with a principal business address at 30 N Gould St Ste R Sheridan, WY 82801. You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions from time to time.

The Site is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site.

2. INTELLECTUAL PROPERTY RIGHTS

Ownership of Site, Content, and Marks

Unless otherwise stated, the entire Site—including the AI co-pilot (text and voice), learning spaces, and all AI-generated materials (summaries, flashcards, quizzes, practice exams, timelines, mind-maps, etc.)—plus all underlying code, pipelines, and documentation (collectively, "Content"), as well as our trademarks, service marks, and logos (the "Marks"), are owned or controlled by us or are licensed to us.

Proprietary systems covered

• AI-powered video-lecture processing (chaptering, summarisation, flashcard generation)
• Document analysis and chat functionality
• Real-time, space-wide AI interaction
• Learning-material organisation and management
• Source-attribution and reference resolution
• All other interactive study tools and features we provide

User-uploaded content

You retain ownership of PDFs, video links, recordings, and other materials you upload. You grant us a licence to process and analyse that content to provide our services, subject to copyright law and fair-use principles.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms and Conditions; (4) you are not under the age of 13; (5) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site; (6) you will not access the Site through automated or non-human means; (7) you will not use the Site for any illegal or unauthorized purpose; and (8) your use of the Site will not violate any applicable law or regulation.

4. USER REGISTRATION

You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. FEES AND PAYMENT

All transactions are processed securely through Stripe. We currently support:

• Digital wallets: Apple Pay, Google Pay, Samsung Pay

Our Free plan costs nothing and includes up to three uploads, pastes, or recordings per day, five AI text chats daily, ten quiz answers per day, two practice exams per month, five AI voice chats per day, and file uploads up to 100 pages or 10 MB each. The Pro plan offers the same features without limits—plus uploads up to 2,000 pages or 300 MB per file and priority support—and is priced at $12 per month when billed annually or $20 per month when billed monthly.

6. FULFILLMENT POLICY AND SERVICE DELIVERY

Service Delivery

Our services are delivered digitally through our platform at www.learnerr.ai. Upon successful payment processing:

• Your account access is provided immediately
• Pro Plan features are activated immediately upon payment confirmation
• All digital features become available according to your subscription level

Refund Policy

We offer a 7-day money-back guarantee on all new subscriptions. To request a refund, email support@learnerr.ai with your request within 7 days of initial purchase.

7. CANCELLATION

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you are unsatisfied with our services, please email us at support@learnerr.ai.

8. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission from us
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
• Circumvent, disable, or otherwise interfere with security-related features of the Site
• Use any information obtained from the Site in order to harass, abuse, or harm another person
• Use the Site in a manner inconsistent with any applicable laws or regulations
• Engage in any automated use of the system, such as using scripts to send comments or messages
• Copy or adapt the Site's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code
• Use the Site as part of any effort to compete with us or otherwise use the Site and/or the Content for any revenue-generating endeavor or commercial enterprise

10. TERM AND TERMINATION

These Terms and Conditions shall remain in full force and effect while you use the Site. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms and Conditions.

11. GOVERNING LAW

These Terms and Conditions are governed by and interpreted in accordance with the laws of the State of Wyoming, United States. E-Digital Hub LLC and you agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of any disputes.

12. DISPUTE RESOLUTION

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms and Conditions or the breach thereof, the parties shall use their best efforts to settle the dispute through informal negotiations. If the parties are unable to resolve any dispute through informal negotiations within ninety (90) days, then disputes shall be finally settled by binding arbitration administered in Wyoming, in accordance with applicable arbitration rules.

13. DISCLAIMER

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE.
